Daigneault Labs - Terms of Service

Effective Date: 8/31/2025


These Terms of Service ("Agreement") govern your use of Echo, Echo+, and HQ (collectively, "Services") provided by Daigneault Group LLC, doing business as Daigneault Labs (hereafter, "Daigneault Labs", or "Provider"). By creating an account, subscribing, or otherwise using the Services, you ("Customer, "you", or "your") agree to this Agreement. If you do not agree, do not use the Services.


  1. General Terms


1.1 Account Creation

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your credentials.


1.2 Payments & Invoicing

  • All payments are non-refundable.

  • Payment terms are Net 30 from invoice date.

  • Overdue balances incur 7% annual interest (or the maximum permitted by law, if lower).

  • Payments will be invoiced via Stripe or, if enabled, charged directly to a payment method you provide to Stripe.

  • You remain responsible for all applicable taxes.


1.3 Termination

  • Either party may termination for convenience at any time with 7 day written notice.

  • You will be responsible for all fees accrued through the effective date of termination.


1.4 Intellectual Property

All intellectual property rights in and to the Services remain exclusively with Daigneault Labs and its licensors.


1.5 Disclaimers

  • Services are provided "AS IS" without warranties of any kind (express or implied), including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • We make no guarantee of uninterrupted or error-free service or outcomes.


1.6 Limitation of Liability

To the maximum extend permitted by law:

  • Daigneault Labs shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunities.

  • Our aggregate liability under this Agreement shall not exceed the fees paid by Customer to us in the three (3) months preceding the claim.


1.7 Governing Law

This Agreement is governed by the laws of the State of New York, without regard to conflict of law rules.


  1. Echo & Echo+


2.1 Services

Echo automates job-completion feedback requests, routing positive feedback to public review links and escalating negative feedback to Customer. Echo+ provides the same services, plus periodic reporting and insights into trends we find in your data.


2.2 Fees & Usage Definition

Jobs are billed monthly in arrears, net 30, based on usage at the following rates:

  • Echo: $1.00/job

  • Echo+: $1.25/job


Volume Discounts:

  • Jobs 1-50: Standard Rate

  • Jobs 51-100: 10% discount

  • Jobs 101+: 20% discount


Usage Definition:

For purposes of billing under Echo and Echo+, "usage" means each instance in which the Services generate and send a message to a customer in connection with a completed job, whether by email, text message, or other communication channel enabled within the Services. Usage is counted at the point the message is sent, regardless of whether the message is opened or responded to.


Activation & Billing Commencement:

  • Testing Period: Billing does not begin until Customer successfully completes a test exercise, submitting one test job through the system and receiving a response email from the AI agent. Upon successful send of first response message, Customer's account will be activated, Customer will be notified via email, and normal operations will commence.

  • Initial Billing: On the first day of the month following activation, Customer will be invoiced on the normal per job basis (excluding the first Test job) sent during the partial month prior (from activation date through month-end).

  • Ongoing Billing: Thereafter, Customer will be invoiced on the first day of each subsequent month for all usage in the immediately preceding calendar month.


2.3 Customer Responsibilities

  • Customer represents and warrants that is has obtained appropriate compliance support and guidance regarding applicable laws and regulations for customer communications (including but not limited to TCPA, CAN-SPAM, and GDPR).

  • Daigneault Labs will provide technical support for opt-in/opt-out functionality but assumes no liability for Customer's compliance obligations.


2.4 AI Disclaimer

Echo and Echo+ utilize artificial intelligence and automated processes, including sentiment analysis, to classify and route customer responses. You acknowledge and agree that:

  • AI outputs may not always be accurate or reliable.

  • We do not guarantee that every message will be correctly classified, routed or acted upon.

  • You remain responsible for reviewing outputs and making business decisions.

  • Daigneault Labs shall have no liability for any errors, omissions, or misclassifications resulting from AI-driven features.


2.5 Termination (Echo & Echo+)

Either party may terminate Echo or Echo+ for convenience at any time. Customers must terminate by either (a) submitting the official Cancellation Form (https://airtable.com/appnCrkwrdfGv5D9k/pagKfPIcbEZafaaeC/form) or (b) via email to admin@daigneaultlabs.com with the subject line "CANCELLATION ACCOUNT ID: {your account number}". Customer remains responsible for all fees accrued and all usage through the effective date of termination. No refunds will be issued.


  1. HQ (Implementation & Support)


3.1 Implementation Scope


Overview. HQ implementations configure workflows in Customer’s chosen platform(s) (e.g., Airtable, ClickUp, Notion, SmartSuite, etc.) to support project tracking, CRM, light automation, and dashboards (where supported by Customer’s plan). Custom work beyond the scopes below will be quoted under a separate Statement of Work (“SOW”).


Core - SOW Template (Project Management Tracker)

  • Objective: Stand up a basic project management-style workspace.

  • Platform(s): As chosen by Customer

  • Deliverables: Up to 3 tables, bases, workspaces, or similar (e.g., Projects / Tasks / Teams (or analogous objects), with core fields, reference links, and up to 3 saved views per table.

  • Forms / Intake: Up to 1 basic form for job/task intake.

  • Permissions: Basic role setup using native platform roles.

  • Documentation/Training: 1 quick-start guide and 1 live handoff session (<= 60 minutes).

  • Assumptions/Exclusions: No custom code, no data migration beyond <= 2 sample CSVs (<= 2k rows each), no advanced reporting, no SSO.

  • Acceptance Criteria: The three tables, views, and any agreed form are created and accessible; sample records demonstrate relationships, quick-start guide delivered.


Pro - SOW Template (Core + CRM + Automations/Dashboards)

  • Includes Core, plus:
    CRM Workspace: Contacts, Companies, Deals/Opportunities (up to 3 CRM tables) with relationships to project tables.

  • Basic Automations: Up to 3 basic, native automations (e.g., status transitions, notifications, field updates), if supported by Customer's plan.

  • Basic Dashboards: Up to 2 dashboards using native widgets (if supported by Customer's plan).

  • Documentation/Training: 1 Quick-start guide and up to 2 live sessions (<= 60 minutes each).

  • Assumptions/Exclusions: No complex multi-system orchestration, no advanced data modeling, no custom scripts, dashboards limited to native capabilities, platform plan must include required features.

  • Acceptance Criteria: All Core criteria met, CRM tables operational, automations fire successfully in test, dashboards display expected sample KPIs, quick-start guide delivered.


Substantial Completion: "Substantial Completion" is achieved when the applicable SOW's Acceptance Criteria above are satisfied, notwithstanding minor non-material defects or punch-list items that do not prevent productive use.


3.2 Implementation Fees

  • Fees & Milestones: 50% upfront (invoiced on order) and 50% upon Substantial Completion

  • Invoicing & Terms: Invoices are via Stripe or, if enabled, charged to Customer's card via Stripe. Net 30; 7% interest accrues on late balances (or the maximum permitted by law, whichever is lower). All payments are non-refundable.

  • Out of Scope Changes: Material changes, additional tables/automations/dashboards, data migrations, integrations, or custom work are billable separately (Time & Material or fixed-fee change order).

  • Platform Costs: Customer is solely responsible for all third-party platform fees, plan upgrades, usage charges, and taxes (see section 3.4 for optional pass-through).


3.3 Support Fees

  • Scope: Ongoing advisory, troubleshooting, and "small tweak" configurations (e.g., minor field/view changes, simple automation edits). Substantive enhancements, new modules, migrations, or integrations require a separate quote/SOW.

  • Billing: Support is billed monthly in advance, invoiced via Stripe or charged to card on file. Net 30, 7% interest on late balance (or maximum permitted by law, whichever is lower). All payments are non-refundable.

  • Exclusions: Support fees exclude any third-party subscription or usage fees; no guaranteed response times, SLAs, or on-call services unless expressly stated in an SOW.


3.4 Pass-Through Costs

At Customer's election, Daigneault Labs may provision/manage third-party subscriptions and usage on Customer's behalf and invoice at cost + 20% (plus taxes/FX/processing).


3.5 Disclaimers

  • No Warranty/Guarantee: HQ is provided "AS IS" and "AS AVAILABLE". Daigneault Labs makes no warranties or representations regarding success, performance improvements, financial results, or suitability for a particular purpose.

  • AI Notice: HQ configurations & support features may employ AI-assisted features (e.g., classifiers, summaries, workflow recommendations). AI outputs may be inaccurate, incomplete, or inconsistent. Customer remains solely responsible for validating outputs and business decisions. Daigneault Labs is not liable for errors, omissions, or misclassifications from AI features.

  • Compliance: Customer is solely responsible for compliance with laws/regulations/policies applicable to its data and operations.


3.6 Third Party Services

HQ relies on third-party platforms and APIs selected by Customer. Daigneault Labs does not control and is not liable for their functionality, availability, security, changes, outages, data loss, rate limits, pricing, defects, deprecations, or terms of use. Customer is responsible for maintaining accounts, permissions, and plan levels necessary for the SOW.


3.7 Termination

  • Implementation

    • May be terminated for convenience by mutual written agreement. The upfront 50% is non-refundable, except in cases of material non-compliance by Daigneault Labs with the agreed SOW, whereupon Customer will be entitled to a refund of the upfront payment already made.

    • Customer remains responsible for: (i) work performed through the termination effective date (including any approved change orders), and (ii) non-cancellable third-party expenses.

    • Daigneault Labs may terminate immediately for Customer's non-compliance with this agreement, including failure to pay, breach of obligations, violation of applicable law, or lack of cooperation in the implementation process.

  • Support

    • Either party may terminate Support for convenience at any time. Customer must terminate by (a) submitting the official Cancellation Form (https://airtable.com/appnCrkwrdfGv5D9k/pagKfPIcbEZafaaeC/form) or (b) email admin@daigneaultlabs.com with the subject line: "CANCELLATION ACCOUNT ID: {your account number}."

    • Customer is responsible for all fees accrued pro-rata through the effective termination date. No refunds will be issued, except in cases of material non-compliance by Daigneault Labs with the agreed Support scope, whereupon Customer will be entitled to a refund of prepaid Support fees for the affected period.

    • Daigneault Labs may terminate Support immediately for Customer's non-compliance, including non-payment, breach of obligations, or violation of applicable law.


  1. Miscellaneous


4.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the Services and supersedes all prior agreements.


4.2 Changes to Terms

We may update these Terms at any time by posting revised Terms on our website and sending an email notification to your registered email. Continued use of the Services constitutes acceptance.


4.3 Assignment

Customer may not assign or transfer this Agreement without prior written consent. Daigneault Labs may assign this Agreement without restriction.
